General Terms and Conditions of Sale
1. Object and Acceptance of the General Terms and Conditions
These general terms and conditions of sale and rental define the rights and obligations of MaterielTech Plus LTD and the customer under the applicable laws of England and Wales. By placing an order, the customer unconditionally accepts these terms and conditions, which take precedence over any other document provided by the customer.
2. Scope of Application
These terms apply to all sales, rentals, and leasing contracts for public works equipment offered byMateriel Tech Plus LTD, in accordance with English law. These conditions also include cross-border operations, subject to the rules of international trade agreements in force.
3. Products and Services
All equipment sold, rented, or offered for leasing is described in the relevant contractual documentation. The customer must ensure that the equipment meets their needs before placing an order. Materiel Tech Plus LTD cannot be held responsible for any misjudgment by the customer, in accordance with English law.
4. Orders and Leasing
Leasing contracts are concluded for a minimum irrevocable term as stipulated in the contract. During the leasing period, the customer must pay all fees, even in the event of equipment mal function, unless force majeure, as defined by English law, including the Unfair Contract Terms Act 1977, applies.
5. Prices and Payment
All prices are exclusive of VAT and transportation costs, unless otherwise specified. Payment is due upon receipt of the invoice, and any late payments will incur interest at the rate of 8% plus the Bank of England base rate, in accordance with the Late Payment of Commercial Debts Act 1998.
6. Order Cancellation and Termination
Any cancellation or modification of an order after confirmation will result in cancellation fees as outlined in the contract. This complies with the Consumer Contracts Regulations 2013 for UK-based consumers.
7. Delivery and Transfer of Risk
Risk transfers to the customer upon dispatch from Materiel Tech Plus LTD's warehouses, even if delivery is handled by a third party, in accordance with the Sale of Goods Act 1979.
8. Warranty and Liability
The statutory warranty for hidden defects applies for two years from the date of delivery, in accordance with the Consumer Rights Act 2015. Claims must be made within 30 days of discovering the defect.
9. Rental and Return of Equipment
The customer agrees to use the equipment in accordance with its intended purpose. In the event of loss, theft, or damage, the customer will be liable for the cost of repair or replacement, in accordance with the Hire Purchase Act 1964.
10. Import-Export
Export customers are responsible for customs clearance and paying all duties and taxes in the destination country. Materiel Tech Plus LTD cannot be held liable for any delays caused by customs clearance issues.
11. Force Majeure
Neither party shall be liable for failure or delay in performing obligations due to a force majeure event, as defined by English law. If the force majeure event lasts longer than 60 days, either party may terminate the contract without penalty.
12. Governing Law and Jurisdiction
These terms and conditions are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Personal Data
The customer consents to the use of their personal data in accordance with the UK GDPR (GeneralData Protection Regulation). The customer has the right to access, rectify, or delete personal data, in compliance with applicable UK data protection laws.
